Board Effectiveness

This 1.50 hour session, will address the question:

“What makes for Effective Boards and Committees?”

Corporate boards today are expected to be more engaged, more knowledgeable and more effective than in the past and the definition of board effectiveness has shifted dramatically in the aftermath of the of the global financial crisis and numerous corporate scandals.  As was stated in the Harvard Business Review in November 2012 “To be truly effective, a board needs directors who can work as a group to clearly define their role and mission, and in specialized individual roles, such as succession planning, acquisitions and capital allocation.” An independent, non-executive director in the UK insurance industry now confronts personal accountability, risk and liability. Clearly, not a job for the faint hearted.


Presenters:

• Annette Court - Admiral Insurance Group

Annette Court is Chairman of Admiral Insurance Group and Senior Independent Director at Jardine Lloyd Thompson Group. She has also been a NED on various public company and private equity backed boards. She was the CEO of European General Insurance of Zurich Financial Services from 2007 until July 2010 and served as a member of its Group Executive Committee. She joined Zurich from RBS Insurance/ Direct Line Group where she was CEO and a member of the RBS Group Executive Management Committee from 2001. Annette has a degree in engineering from Oxford University and subsequently worked at IBM in the banking and insurance sectors for 11 years. She also sits on the business advisory board of Streetgames, a charity that helps disadvantaged young people and is a business mentor for Merryck & Co. She is also a member of The Insurance Supper Club, a network of senior women business leaders around the globe who operate in or are involved with the insurance industry

 
• Judy Delaforce - BP&E Global 

Judy is the Chief Executive of BP&E Global Ltd where she heads the Board development services and specialises in Board evaluations and coaching board members. She has worked with hundreds of organisations across financial services over the last seventeen years as a consultant working with Boards, Board members, regulators and industry bodies including the LMA, PEPMA and Institute for Turnaround. Prior to becoming a consultant, Judy worked in financial services firms and regulation for over 20 years in roles from PEP Manager to leading Product Development and Communications business areas before becoming a consultant. She ran teams and departments for Barclays, Fidelity, and the regulators developing a ‘people focused’ approach working at Board and Exco level. Judy is a Member of the European Corporate Governance Institute and a Member of the European Mentoring & Coaching Council. She is an independent NED interview panellist. Judy has been a regular contributor for many years to various publications including The Institute for Turnaround, and Thomson Reuters Compliance and HR publications. She writes a monthly Board Matters e-newsletter for over 8500 Board members and senior executives.

• Simon Hearn – Per Ardua Associates

As Chairman of Per Ardua, Simon is responsible for the strategic direction and sharing the day-to-day running of the firm with Jamie Risso-Gill.  He is also a member of the Insurance and Investment Management practices – as well as heading the Board Practice across all practice areas.  Simon is involved in hiring at C-Suite level as well as NED and Chairmen recruitment. Simon is also Chairman of a new business, Pantheon Leadership, a division of Per Ardua Associates. Pantheon is an assessment and coaching specialist business operating at C- suite and Board level within Financial Services. Pantheon currently has seven assessment and coaching professionals in the team. Prior to forming the company in 2008, Simon was Co-Head of Global Financial Services at Russell Reynolds Associates where he spent sixteen years, twelve as a Partner and eight running Financial Services.  Simon spent three years on the Exco of the company.  Simon was a member of the UK Board Practice and concentrated on Non-Executive Director recruitment within Financial Services as well as senior level recruitment in insurance, reinsurance, consumer financial services and asset management. Prior to joining Russell Reynolds Associates in 1992, Simon was a Director of a small financial services recruitment and M&A boutique in London.  Previously Simon had a career in the British Army.  A former Captain in the Royal Scots Dragoon Guards, he was Adjutant of his Regiment and later served as an Assistant to the Adjutant General, the Army’s senior personnel officer at the MoD.


Outline learning objectives:

In our first WCI iNED Forum of 2019 we will address the topic of Effective Boards and Committees and seek to address the following questions:  

• What are the pillars upon which Effective Boards and Committees are built?
• What are the disrupters that hinder board progression towards top performance?
• What to consider when reviewing board composition? 
• What is the role of an external board evaluation in enhancing board effectiveness?

This iNED Forum is open to insurance Non-executive Directors (iNEDS), aspiring iNEDS, Company Secretaries, Compliance staff and all those involved with corporate governance, underwriting, broking and risk management in the insurance sector.

There is no requirement for delegates to be members of the Worshipful Company of Insurers.
